Terms and conditions  /

Colour Cubed Holdings Limited trading as Colour Cubed Creative Communications | Business customers | Draft 24 September 2026

These terms apply to our design, print, branded merchandise, event branding, signage and video and photography work.

Each accepted quotation or order identifies the deliverables, price, timetable and any agreed departure from these terms.

1 Parties and orders

“We”, “us” and “our” mean Colour Cubed Holdings Limited (company number 11270438), trading as Colour Cubed Creative Communications. “You” means the business customer named in the quotation or order. These terms apply to business purchases only. A quotation is an invitation to order and may be withdrawn before acceptance. A contract starts when we confirm your order in writing or begin work at your request, whichever happens first. Your purchasing terms do not apply unless we expressly accept them in writing. Any agreed quotation or statement of work takes precedence over these terms to the extent of a conflict. Changes to a contract require written agreement, including email.

2 Scope and customer cooperation

The quotation states what is included, the number of concepts and revision rounds, quantities, specifications, locations, installation arrangements, shoot hours, formats and delivery dates where relevant. Anything outside that scope, including additional revisions, reworking supplied files, reshoots, travel, permits, storage and express carriage, requires a further quotation or agreed charge. You must supply accurate content, usable files, approvals, access, site information and a decision maker in time. We may adjust price and timetable where your instructions, materials or access change or are delayed.

3 Prices and payment

Prices are in pounds sterling, exclusive of VAT unless stated otherwise. Quoted prices include only the items specified. We may revise a quotation before acceptance if supplier prices, materials or specifications change. The first order is payable on a pro forma basis with the order. If we approve a credit account, later invoices are due within 30 days of invoice date unless agreed otherwise in writing. We may require deposits or staged payments for substantial projects or committed third party costs. Do not withhold undisputed amounts because another amount is disputed. If an invoice is overdue, we may suspend work, deliveries and credit after notifying you. For qualifying business debts we may claim statutory interest, fixed compensation and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, as amended.

4 Cancellation and changes

Tell us promptly in writing if you wish to change or cancel an order. We will take reasonable steps to limit avoidable costs. You must pay for work done and non-cancellable commitments incurred up to cancellation, plus reasonable direct cancellation costs; we will credit any costs we actually avoid. Bespoke goods, commissioned production, booked crew and location or supplier slots may become non-cancellable once committed. We will explain material commitments when quoting or confirming them. A change requested after approval may require a new proof, price and delivery date.

5 Materials, rights and lawful content

You warrant that content, branding, footage, data and materials you provide may lawfully be used for the agreed work and do not infringe third party rights. You remain responsible for checking factual claims, mandatory wording, accessibility requirements and sector-specific advertising or product rules. You grant us and our suppliers a licence to use your materials to perform the contract. You will reimburse us for reasonable losses and costs arising from a third party claim caused by your breach of this clause, except to the extent caused by our own breach or negligence. We may decline material we reasonably believe is unlawful or unsafe.

6 Design and intellectual property

Unless the quotation expressly says otherwise, you retain rights in materials you supply; we and our licensors retain rights in pre-existing assets, concepts not selected, working files, templates and production methods. Once you have paid in full, we grant you a perpetual, worldwide, non-exclusive licence to use the final approved deliverables for the purposes stated in the quotation, subject to any disclosed third party licence terms. Source or editable files, font licences, stock assets, music and wider usage or copyright assignment are included only if expressly specified. We will identify material third party restrictions we know of. We may show publicly released work in our portfolio unless you ask us in writing to keep it confidential.

7 Proofs and production

We will provide an appropriate proof or approval copy where the process permits. You must check spelling, content, dimensions, placement, quantities, colour references and technical details before written approval. Approval authorises production or publication. We remain responsible for producing work with reasonable care and skill and in accordance with the approved specification; approval does not excuse a production fault. Colours, substrates, screen displays, print processes and batch finishes can vary within reasonable commercial tolerances. A physical sample, press proof or exact colour matching is chargeable where agreed. Any overs or unders allowance applies only where stated in the quotation; otherwise we will supply the agreed quantity.

8 Goods, delivery and risk

We will use reasonable efforts to meet agreed dates and tell you promptly of material delays. Dates are estimates unless expressly agreed as firm deadlines. We will not charge for express delivery without your agreement. Risk in goods passes on delivery to the agreed address or on collection, except where loss or damage results from our breach. Title in goods passes only when we receive payment in full for those goods. You must store unpaid goods separately so far as reasonably practicable and must not dispose of them except in your ordinary course of business. Please inspect deliveries promptly and notify us of visible shortage or transit damage within three working days, with photographs where possible; this notice period does not remove rights for defects that could not reasonably have been found on inspection. We will investigate and, where we are responsible, repair, replace, reperform or refund the affected work as appropriate.

9 Branded merchandise and print

Product sizes, dyes, finishes, print positions and batches may vary within the tolerances stated in the quotation or supplier specification. Tell us of special performance or care requirements before ordering. We will supply relevant care information provided by the manufacturer. A product used, altered, washed or processed contrary to its stated care instructions may not be capable of remedy; we remain responsible for faults attributable to our supply or decoration.

10 Event branding and signage

Your order must identify site dimensions, surface conditions, access times, loading arrangements and installation requirements. Unless the quotation says we will obtain them, you must secure the property owner’s consent, venue approvals, advertising consent and any highway, pavement, scaffolding or other permits before installation. We will carry out our installation work with reasonable care and comply with applicable health and safety duties. Each party retains its own statutory duties, including any applicable Construction (Design and Management) Regulations 2015 duties. We may postpone unsafe or unauthorised work and agree the resulting cost and timetable change with you. Maintenance, removal and making good are included only if stated in the quotation.

11 Video and photography

The quotation should specify shoot dates, locations, crew, outputs, edit rounds, aspect ratios, captions, raw files, storage period and permitted uses. You are responsible for obtaining venue permissions and informing or securing the necessary permissions from your staff, guests, performers and other people you arrange to appear, unless we expressly agree to handle these tasks. We will obtain permissions from our own crew and contributors engaged by us. Each party must meet its applicable privacy and data protection duties. Music, stock footage, talent, location and platform licences are subject to their stated scope, territory and duration. Reshoots caused by changed instructions, absence of agreed participants or inaccessible locations may be charged by agreement. We do not guarantee a particular result from live events or circumstances outside our reasonable control.

12 Personal data and confidentiality

Each party will comply with applicable UK data protection law for personal data it controls. We will provide privacy information for credit-account contacts and trade reference contacts. If we process personal data solely on your behalf, the parties will agree a separate data processing agreement with the required UK GDPR Article 28 terms before that processing begins. Each party will keep the other’s non-public business information confidential, use it only for the contract and disclose it only to personnel, professional advisers and suppliers who need it and are bound to protect it, unless disclosure is required by law.

13 Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited. Subject to that, each party is responsible for losses reasonably foreseeable when the contract was made and caused by its breach. Neither party is liable for lost profit, lost business or indirect or consequential loss, except for amounts payable under clause 5 for third party claims or a deliberate misuse of the other party’s confidential information. Subject to the first sentence, our total liability arising from an order is limited to 100% of the price paid or payable for that order. This allocation is intended to be reasonable for business contracts; discuss a higher limit and the related price before ordering if your potential exposure warrants it.

14 Events outside reasonable control

Neither party is liable for delay caused by events beyond its reasonable control, including serious supplier disruption, transport interruption, severe weather and venue closure, provided it promptly informs the other, takes reasonable steps to reduce the effect and resumes performance when practicable. Payment for work already completed remains due. If such an event prevents substantial performance for more than 30 days, either party may end the affected order by written notice; we will refund amounts paid for work not supplied after deducting reasonable non-recoverable committed costs disclosed to you.

15 General and law

We may use competent subcontractors but remain responsible for our obligations. Neither party may transfer the contract without the other’s written consent, not to be unreasonably withheld, except to a successor to substantially all of its relevant business. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a right is not a waiver. No person other than the parties may enforce the contract under the Contracts (Rights of Third Parties) Act 1999. English law governs the contract and the courts of England and Wales have exclusive jurisdiction.
